Welcome to SeniorThrive! These Terms of Service ("Terms") govern your access to and use of the SeniorThrive website, web application, mobile applications (if any), and all related services, features, and content offered by SeniorThrive LLC ("SeniorThrive," "we," "us," or "our"), including the ThriveCircle features (collectively, the "Services").
Please read these Terms carefully. By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy (which is incorporated by reference into these Terms). If you do not agree to these Terms, do not access or use our Services.
IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, PLEASE CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY. SENIORTHRIVE IS NOT A MEDICAL SERVICE PROVIDER AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.
Our Services
SeniorThrive provides a platform designed to support older adults ("Focus OAs") and their care networks, including family members, friends, and professional caregivers ("Circle Members"). Our Services include tools for communication, information sharing (including health-related information as directed by users), activity tracking, and care coordination through features like ThriveCircle.
Our Services are intended for informational and organizational purposes only and are not a substitute for professional medical advice, diagnosis, treatment, or in-person care. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read or accessed through the Services.
We are constantly evolving our Services, and we may change, suspend, or discontinue any aspect of the Services at any time without notice, for any reason, in our sole discretion. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period.
Eligibility and Account Registration
Eligibility:
You must be at least 18 years old (or the age of legal majority in your jurisdiction if different) to create an account and use most features of our Services. If you are creating an account on behalf of a Focus OA (e.g., as a legal guardian or with power of attorney) or as a Professional Caregiver, you represent and warrant that you have the full legal authority to do so and to agree to these Terms on their behalf and on behalf of your organization, if applicable. Certain features may have specific eligibility requirements.
Account Creation:
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information promptly to keep it accurate, current, and complete.
Account Security:
You are responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to (a) keep your password confidential and not share it with anyone else; (b) take reasonable measures to prevent unauthorized access to your account; and (c) notify SeniorThrive immediately at [email protected] of any unauthorized use of your account or any other breach of security. SeniorThrive is not liable for any loss or damage arising from your failure to comply with these security obligations.
One Account Per User:
Each individual user should have only one account. You may not use another person's account without their express permission and our consent.
User Conduct and Responsibilities
You agree not to misuse the Services or help anyone else to do so. Specifically, you agree not to do, or attempt to do, any of the following in connection with the Services:
- Probe, scan, or test the vulnerability of any system or network associated with the Services.
- Breach or otherwise circumvent any security or authentication measures.
- Access, tamper with, or use non-public areas of the Services, SeniorThrive's computer systems, or the technical delivery systems of SeniorThrive's providers.
- Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services.
- Plant malware or otherwise use the Services to distribute malware or other harmful computer code.
- Access or search the Services by any means other than our publicly supported interfaces (for example, "scraping," "crawling," or using "bots"), unless specifically authorized by us in writing.
- Send unsolicited communications, promotions or advertisements, or spam.
- Send altered, deceptive, or false source-identifying information, including "spoofing" or "phishing."
- Publish or share materials that are unlawfully pornographic or indecent, or that contain extreme acts of violence or terrorist activity, including terror propaganda.
- Advocate bigotry or hatred against any person or group of people based on their race, religion, ethnicity, sex, gender identity, sexual orientation, disability, or impairment.
- Violate the law in any way, including storing, publishing or sharing material that's fraudulent, defamatory, or misleading, or that violates the privacy or infringes the rights of others (including intellectual property rights).
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Collect or store personal data about other users without their express permission.
- Use the Services for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates these Terms.
- Violate any applicable local, state, national, or international law or regulation.
You are solely responsible for your conduct and any data, text, information, graphics, photos, profiles, audio and video clips, links, and other content or materials ("User Content") that you submit, post, and display on the Services.
User Content & Intellectual Property
Your Content:
You retain ownership of all intellectual property rights in your User Content. By submitting, posting, or displaying User Content on or through the Services, you grant SeniorThrive a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and SeniorThrive's (and its successors' and affiliates') business. This license is solely for the purpose of operating, developing, providing, and improving the Services.
Health-Related Content: For User Content that constitutes health-related information (including but not limited to medication logs, vital signs, wellness check-ins, care notes, Room Check photos, and any other information that relates to your physical or mental health), the license granted above is limited as follows: (a) it is not sublicensable or transferable except to service providers who assist us in operating the Services under confidentiality obligations; (b) it terminates upon deletion of your account, except as needed to comply with legal obligations or to allow ThriveCircle members to retain access to content you previously shared with them in accordance with your privacy settings; and (c) it does not permit the sale of your health-related content to third parties.
For all other User Content (such as community posts, profile information, and general comments), this license is sublicensable and transferable solely in connection with operating the Services, and continues after you stop using our Services primarily for the purpose of allowing ThriveCircle members to continue accessing content you shared with them, subject to your privacy settings and our Privacy Policy.
Responsibility for User Content:
You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish User Content you submit and to grant SeniorThrive the license set forth above. You are solely responsible for your User Content and the consequences of posting or publishing it. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with User Content.
PHI in User Content:
If you include Protected Health Information (PHI) in your User Content, you are responsible for ensuring that your sharing of such PHI complies with HIPAA and other applicable laws, and with the consent settings you establish within the Services (as detailed in our Privacy Policy and ThriveCircle Addendum).
SeniorThrive's Intellectual Property:
The Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content belonging to other Users (the "SeniorThrive Content"), and all Intellectual Property Rights related thereto, are the exclusive property of SeniorThrive and its licensors (except for your User Content). Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any SeniorThrive Content. Use of the SeniorThrive Content for any purpose not expressly permitted by these Terms is strictly prohibited.
Feedback:
We welcome feedback, comments, and suggestions for improvements to the Services ("Feedback"). You can submit Feedback by emailing us at [email protected]. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon, and otherwise exploit the Feedback for any purpose, without any compensation to you.
Copyright Policy (DMCA)
SeniorThrive respects the intellectual property rights of others and expects users of our Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law. If you are a copyright owner, or are authorized to act on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Services, please submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Designated Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material. Providing URLs in the body of an email is the best way to help us locate content quickly.
- Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted.
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

If you fail to comply with all of the requirements of Section 512(c)(3) of the DMCA, your DMCA Notice may not be effective.
Counter-Notification:
If you believe that your User Content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the material in your User Content, you may send a counter-notice containing the following information to our Copyright Agent:
- Your physical or electronic signature.
- Identification of the User Content that has been removed or to which access has been disabled and the location at which the User Content appeared before it was removed or disabled.
- A statement under penalty of perjury that you have a good faith belief that the User Content was removed or disabled as a result of mistake or a misidentification of the User Content.
- Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in Orange County, California, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.
If a counter-notice is received by the Copyright Agent, SeniorThrive may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed User Content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the User Content provider, member or user, the removed User Content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at SeniorThrive's sole discretion.
We reserve the right to remove User Content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. In appropriate circumstances, SeniorThrive will also terminate a user's account if the user is determined to be a repeat infringer.
ThriveCircle Specific Terms
The ThriveCircle features allow Focus OAs (or their authorized representatives) to share information, including PHI, with designated Circle Members.
- Consent is Key: Sharing of PHI within a ThriveCircle is governed by the explicit consents provided by the Focus OA (or their authorized representative) as detailed in our Privacy Policy and its ThriveCircle Addendum.
- Circle Administrator: The Circle Administrator has certain responsibilities for managing the ThriveCircle, including inviting members and potentially managing some shared household information.
- Professional Caregivers: If you are a Professional Caregiver using the Services, you represent and warrant that you have all necessary consents from the Focus OA and your employer/organization to access, use, and share information via the Services, and that your use complies with all applicable professional standards and legal obligations, including HIPAA.
AI-Powered Features
Certain features of the Services use artificial intelligence ("AI") to process your data and generate content. By using these features, you acknowledge and agree to the following:
Informational Purposes Only:
All AI-generated content, including Room Check safety observations, Health Information Finder results, AI companion responses, medication label readings, scam analysis results, care plan suggestions, and ThriveScore calculations, is provided for general informational and organizational purposes only. AI-generated content does not constitute medical advice, clinical diagnosis, professional home safety assessment, legal advice, financial advice, or any other form of professional recommendation.
AI Limitations and Accuracy:
AI technology has inherent limitations. AI-generated content may be incomplete, inaccurate, or inappropriate for your specific circumstances. Room Check may fail to identify hazards in your home. AI companions may provide responses that are not applicable to your situation. Medication label readings may contain errors. You should independently verify any AI-generated information before acting on it.
No Substitute for Professional Judgment:
You should not rely solely on AI-generated content as a substitute for professional evaluation. A Room Check does not replace a professional home safety assessment by a qualified occupational therapist or home safety specialist. AI companion conversations do not replace therapy, counseling, or medical consultation. Always consult qualified professionals for decisions regarding your health, safety, or care.
No False Assurance:
A favorable result from any AI feature (such as a high ThriveScore, a Room Check with few observations, or reassuring AI companion responses) should not be interpreted as assurance that no risks, hazards, or health concerns exist. The absence of an AI-generated warning does not mean the absence of risk.
Third-Party AI Processing:
AI features are powered by Google's Gemini AI models, accessed through Google Cloud's Vertex AI platform provided by Google LLC. Your use of AI-powered features is also subject to the data handling practices described in our Privacy Policy. Under our enterprise data processing terms with Google, Google is contractually prohibited from using your data, prompts, or AI outputs to train or improve Google's foundation AI models.
AI Disclosure:
Content generated by AI is identified as such within the Services. If you share AI-generated content outside of SeniorThrive, you are responsible for disclosing that it was AI-generated where appropriate.
Fees, Subscriptions, and Payment
Free and Paid Tiers:
SeniorThrive offers both free and paid subscription plans. Free plans provide access to a limited set of features. Paid plans ("Subscriptions") provide access to additional features as described on our pricing page at the time of purchase.
Free Trials:
We may offer free trial periods for paid plans. At the end of a free trial, your account will revert to the free plan unless you affirmatively choose to subscribe to a paid plan and provide payment information. We will not automatically charge you at the end of a free trial. You must take deliberate action to start a paid Subscription.
Auto-Renewal:
IMPORTANT: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW.
When you subscribe to a paid plan, your Subscription will automatically renew at the end of each billing period (monthly or annually, depending on the plan you selected) at the then-current rate, unless you cancel before the end of the current billing period. By subscribing, you authorize SeniorThrive to charge your payment method on a recurring basis for the applicable Subscription fees and any taxes.
Cancellation:
You may cancel your Subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of the period you have already paid for. After cancellation, your account will revert to the free plan.
Refunds:
Subscription fees are non-refundable. When you cancel, you will not receive a refund for any remaining time in your current billing period, but you will retain access to paid features through the end of that period. This does not affect any refund rights you may have under applicable law.
Price Changes:
We may change Subscription fees from time to time. We will provide you with at least 30 days' advance written notice (via email or in-app notification) before any price increase takes effect. The new price will apply to your next billing period after the notice period. If you do not agree to the price change, you may cancel your Subscription before the new price takes effect.
Taxes:
You are responsible for any applicable taxes associated with your Subscription. If we are required to collect taxes, they will be added to your bill.
Third-Party Links, Services, and Content
Our Services may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by SeniorThrive. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from the Services, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites. You expressly relieve SeniorThrive from any and all liability arising from your use of any third-party website, service, or content.
Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENIORTHRIVE, ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, SENIORTHRIVE MAKES NO WARRANTY THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (E) ANY ERRORS IN THE SERVICES WILL BE CORRECTED. SENIORTHRIVE DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ANY INFORMATION ACCESSED THROUGH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENIORTHRIVE, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES, INCLUDING AI-GENERATED CONTENT; (IV) ANY ACTIONS TAKEN OR NOT TAKEN IN RELIANCE ON INFORMATION PROVIDED BY THE SERVICES, INCLUDING ROOM CHECK RESULTS, THRIVESCORE, AI COMPANION RESPONSES, OR MEDICATION INFORMATION; OR (V) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENIORTHRIVE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO SENIORTHRIVE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).
THE LIMITATIONS OF THIS SECTION SHALL NOT APPLY TO LIABILITY ARISING FROM (A) SENIORTHRIVE'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR (B) DEATH OR PERSONAL INJURY RESULTING FROM SENIORTHRIVE'S NEGLIGENCE TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.
Indemnification
You agree to defend, indemnify, and hold harmless SeniorThrive, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the SeniorThrive Content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.
Termination
Termination by You:
You may terminate your account and stop using the Services at any time by contacting us at [email protected] or through your account settings, if available.
Termination by SeniorThrive:
We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to, (a) breaches or violations of these Terms or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification of the Services (or any part thereof), (e) unexpected technical or security issues or problems, and (f) engagement by you in fraudulent or illegal activities.
Effect of Termination:
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. We will not be liable to you or any third party for any termination of your access to the Services. If your account is terminated, we may, in our sole discretion, delete your User Content, except as required by law or as necessary to allow other users in your ThriveCircle to continue accessing content you shared with them, subject to our Privacy Policy.
Governing Law and Dispute Resolution
Governing Law:
These Terms and any dispute or claim arising out of, or related to, them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule.
Agreement to Arbitrate:
PLEASE READ THIS SECTION CAREFULLY, IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and SeniorThrive agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that each party retains the right: (i) to bring an individual action in small claims court for disputes within the court's jurisdiction and (ii) to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
Arbitration Fees: For claims of $75,000 or less, SeniorThrive will pay all AAA filing fees and arbitrator compensation. For claims above $75,000, fees and costs will be allocated in accordance with the AAA Consumer Arbitration Rules. Regardless of the amount in dispute, SeniorThrive will not seek its attorneys' fees and costs in arbitration unless the arbitrator determines your claim is frivolous.
Arbitration Procedure: The arbitration will be conducted by a single arbitrator. The arbitration will be conducted in the English language. The arbitrator will have the authority to grant any remedy that would be available in court. The arbitrator's decision will be final and binding. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of creating your account. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, all other provisions of these Terms will continue to apply.
Class Action Waiver:
YOU AND SENIORTHRIVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and SeniorThrive agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
Changes to Terms
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a "material change" will be determined at our sole discretion, but generally includes changes that significantly alter your rights or our obligations under these Terms, such as, but not limited to, changes to fee structures for existing services, significant alterations to core service functionalities that impact your usage, or modifications to the dispute resolution process. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.
